Investment Thesis
What we look for.
We enter when the model is proven and the next round is the one that changes scale. Not idea stage. Not growth equity.
- Stage: Pre-Series A to Series B. We enter when the model is proven and the next round changes scale.
- Sectors we benchmark against 60+ transactions: Consumer, Fintech, HealthTech, Enterprise SaaS.
- Founders who build for the long game, not just the next round.
- Companies where our IB connection adds something, whether M&A exit or strategic introductions.

Investor FAQs
Questions LPs ask first.
A Category 1 AIF is a SEBI-regulated privately pooled investment vehicle that invests in early-stage ventures, startups, and SMEs. These are sectors SEBI considers economically desirable. Unlike mutual funds, it is not available to retail investors. Merisis Venture Partners is registered under SEBI (Alternative Investment Funds) Regulations, 2012 with registration number IN/AIF1/21-22/0902. All investments, reporting, and investor communications are governed by these regulations.
The minimum commitment to the Merisis Opportunities Fund is INR 50 lakhs. AIFs are long-horizon, illiquid investments, suited to investors who can hold the capital for the life of the fund and absorb the risks of early-stage investing.
A mutual fund invests in publicly traded securities and can be redeemed at any time. A PMS manages a portfolio of listed securities in your demat account. This AIF invests in unlisted, early-stage private companies. Your capital is illiquid for 5-7 years, there is no daily NAV, and there is a real and significant risk of losing the entire amount invested. The expected return profile is substantially higher than PMS or mutual funds, but so is the risk.
Specific fee terms are disclosed in the Private Placement Memorandum (PPM), which we share after an initial conversation. In line with market practice, the structure includes an annual management fee and carried interest above a hurdle rate. We discuss these in detail on the introductory LP call.
LPs receive a quarterly report covering portfolio company performance, valuation updates, and any material developments. We also send ad-hoc communications when a significant event occurs: a new investment, a follow-on, or an exit. Full compliance with SEBI reporting requirements is maintained throughout the fund life.
